1 This Website is provided solely to assist customers in gathering health, beauty, fitness and wellness (together, “Wellness”) information, posting opinions, reviews and information regarding Wellness issues, engaging in interactive Wellness advice forums, searching for Wellness service providers, and for no other purposes.

2 The terms “we”, “us”, “our” and “MeTime” refer to MeTime Limited, a Hong Kong company and/or our subsidiaries. The terms “you”, “your”, “User” or “Users” refer to all individuals and/or entities accessing and/or using the Website at anytime, whether in Hong Kong or elsewhere, for any reason or purpose, including but without limitation Users having access to ‘Business Partner’ pages to manage their business listing and Users who have access to a Registered User account (see below).

3 Please read all of these Website Terms of Use carefully before you start to use our Website, as they apply to your use of it. By using our Website in any capacity, you agree that these Website Terms of Use are binding on you, you are deemed to have accepted them and you agree to comply with them. Users shall not use the Website if they do not have legal capacity to form legally binding contracts.

4 These Website Terms of Use apply to whatever means you have used to access this Website, including but not limited to the internet and mobile phone. If you do not agree to these Website Terms of Use, you must not use our Website.

5 If you enter or attend any competitions, events or other promotions offered on this Website, separate terms and conditions may also apply in addition to these Website Terms of Use. In the event of any conflict between those additional terms and conditions and these Website Terms of Use, the additional terms shall prevail to the extent of any such conflict.

6 We may change the Website Terms of Use from time to time. The latest version of the Website Terms of Use will be available on the Website and you should check these Website Terms of Use regularly to ensure that you are happy with any changes. You are deemed to have accepted any changes to the Website Terms of Use after they have been posted to this page and you continue to access the Website.

We reserve the right to withdraw your access, amend or update our Website (and anything offered on it) at any time without notice or liability to you and for any reason. We will not be liable if for any reason our Website or any part of it is unavailable to you at any time or for any period. Further, MeTime shall have no obligation to deliver any content posted on the Website to any User at any time, both before or after withdrawal of access to the Website or termination of the Website.

To the fullest extent permitted by applicable laws, MeTime disclaims all liability and responsibility arising from any such reliance you place on content posted on the Website.

10 You are responsible for your access and viewing of our Website and should ensure you have up to date anti-virus software on any device from which you access our Website. Misuse of our website

11 You must not misuse our Website by: • spamming, including but not limited to any form of emailing, posting or messaging that is unsolicited; and/or • knowingly introducing viruses, trojan horses, worms, computed files, spyware, adware or any other material, program or code which interrupts, damages or limits the functionality of any computer software or hardware (or is designed to do so); and/or • violating or attempting to violate the security of the Website including, without limitation, accessing data not intended for you or logging into a server or account which you are not authorized to access, attempting to probe, scan or test the vulnerability of a system or network or attempting to breach security or authentication measures without proper authorization, attempting to interfere with service to any user, host or network or sending unsolicited e-mails.

12 Violation of system or network security might constitute a criminal offence under the Computer Crimes Ordinance, Crimes Ordinance and/or Theft Ordinance. MeTime will report any such breach to the relevant law enforcement authorities and will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Website will cease immediately. Registered Users and Business Partners

13 If you are aged 18 years old or over, you may create an account and become a ‘Registered User’ or ‘Business Partner’ of the MeTime Website.

14 As a Registered User or Business Partner you may have access to additional services or products, functionality, for example, the ability to create an account, save contact information, post User Generated Content onto the Website, and receive information about promotions and special offers which are restricted to Registered Users and / or Business Partners, if any.

15 Any personal information that you provide to us in the course of becoming a Registered User or Business Partner after registration will be held and used in accordance with any consent obtained from you and the Website Terms of Use.

16 If you choose to create a Registered User profile on MeTime, certain information in your profile will be publicly viewable and identifiable via your screen name. You will have the ability to view your profile as members of the public will see it.

17 By creating a Registered User or Business Partner account, you represent to us that all information provided to us during that process is true, accurate and correct, and that you will update your information as and when necessary in order to keep it accurate. If you are creating a Business Partner account, then you represent to us that you are the owner or authorized agent of that business. You may not impersonate someone else, create or use an account for anyone other than yourself, provide an email address other than your own, create multiple accounts or business listings except as otherwise authorized by us, or provide or use false information to obtain access to a Business Partner account.

18 We reserve the right to cancel your use of the Website and/or withdraw any or all Registered Users’ / Business Partners’ rights or access to the Website. We shall not be liable for any loss or damages whatsoever arising from a Registered User’s / Business Partner’s inability to access any pages on the Website.

19 We also have the right to disable any Registered User / Business Partner identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of any of our Website Terms of Use.

20 You will safeguard your Registered User / Business Partner account information and will supervise and be completely responsible for any use of your account by anyone other than you.

21 Additional terms of business may apply to our Business Partners with Premium Listings ("Premium Terms"). In the event of any conflict between (1) these Website Terms of Use; and (2) the Premium Terms, then the latter shall prevail.

Posting User Generate Content / UGC

22 By uploading, posting or sharing content on this Website, including any reviews of or questions to / responses from Business Partners, photographs or videos, comments, suggestions, business listings, articles, ideas or the like (“User Generated Content” or “UGC”), you: • shall be solely responsible for UGC, including any web pages and/or media platforms and/or applications which you post to the Website; and • you acknowledge and agree that UGC is non-confidential and non-proprietary; and • grant MeTime and its affiliates a nonexclusive, royalty-free, perpetual, transferable and irrevocable right to (a) use, reproduce, modify, translate, distribute, publish, create derivative works from and display UGC throughout the world in any media, now known or hereafter devised, for any purpose; and (b) use the name that you submit in connection with such UGC.

23 You expressly agree not to post, upload, share or otherwise publish through this Website any of the following: • Any content whatsoever that is unlawful, libelous, defamatory, indecent, pornographic, discriminatory, harassing, threatening, invasive of privacy or publicity rights, abusive, fraudulent or otherwise objectionable. • Content that may infringe the copyright, trademark, patent, trade secret or other intellectual or proprietary right of others. • Content that impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity, including MeTime. • Unsolicited promotions, advertising, campaigning, contests or spamming. • Viruses, corrupted data or other harmful, disruptive or destructive files. • Any content or links to content that, in the sole judgment of MeTime, (a) violates these Website Terms of Use, (b) is objectionable, (c) which restricts or inhibits any other person from using or enjoying the Interactive Areas or this Website, or (d) which may expose MeTime or its affiliates or its users to any harm or liability of any type.

24 We reserve the right to edit, share, reject, disapprove, erase and delete any UGC posted on the Website as we see appropriate, including if it does not adhere to these Website Terms of Use, and we shall not be liable for any loss or damages whatsoever arising from any such decision.

27 Further (and without limitation) the name ‘MeTime’, the domain name (https://www.metime.com), the hourglass logo and all other business names or slogans displayed on this Website are the property of and either registered and/or common law trademarks of MeTime Limited, and may not be copied, imitated or used, in whole or in part, without the prior written permission of MeTime.

28 Your use of the Website and Materials is subject to the following restrictions. You must not: • use any content from the Website in any manner that may infringe any copyright, intellectual property right or proprietary right of MeTime or any third parties; and/or • display, publish, reproduce, distribute, disseminate, broadcast or exploit this Website and/or the contents on this Website for any commercial purpose, without our prior express written consent. 29 Our Website and/or communications with you may contain links to websites operated by parties other than MeTime (including those of our Business Partners). Such links are provided for your reference only and do not imply endorsement by us of the linked site. If you decide to visit any third party site, you do so at your own risk. We do not control such websites and are not responsible or liable directly or indirectly for (a) their contents or the privacy, terms and conditions or other practices of such websites; nor (b) any possible viruses, worms, trojan horses, defects and other items of a destructive nature which you may be exposed to upon visiting such third party sites.

30 Our Website may contain advertising submitted by third parties. Such third parties are solely responsible for the content of such advertising and for ensuring that it complies with all relevant legislation and regulations. We do not accept any responsibility for the content of any third party advertising.

Personal Data (Privacy) Policy

31 MeTime is committed to ensuring the privacy and security of the personal data it holds. We aim to meet this commitment by implementing the principles and requirements of the Personal Data (Privacy) Ordinance of the Hong Kong Special Administrative Region (the “Ordinance”).

32 What we collect: We may collect, receive and store any information you enter on our Website or give us in any other way. This includes information that can identify you ("Personal Information"), including your name, email address, log-in name / password and demographic information (such as age, gender, nationality etc). Occasionally, MeTime may also collect additional personal information and/or data from a User in connection with contests, surveys, or special offers.

33 You can choose not to provide certain personal information to us, but in general some information about you is required in order for you to receive relevant offerings from MeTime and its partners and enjoy other benefits of being a MeTime User.

34 We automatically collect some information from your computer or device when you visit MeTime. For example, we will collect session data, including your IP address, web browser software, and referring website. We also may collect information about your online activity, such as content viewed, pages visited, and searches made.

35 Purposes for collection: MeTime’s purposes for collection the aforementioned information and data includes, but is not limited to the following: • For registration and to manage your MeTime Registered User or Business Partner account, including allowing you access and use of the Website. • To enable us to publish your UGC to the MeTime Website. • To respond to your questions and comments. • To communicate with you in general, including providing you with promotional / marketing materials and notifying you about offerings that may be of interest to you. • To identify Users who have viewed content on the Website, and to generally measure interest in and improve our offerings and the Website. • To customize your experience with MeTime, including customizing the advertisements shown to you. • To allow Users to sign up for special events hosted by MeTime or enter into competitions offered on the MeTime Website. • To prevent potentially prohibited or illegal activities and to enforce these Website Terms of Use. • As otherwise described to you at the point of collection.

36 Direct Marketing: MeTime intends to use your personal data for direct marketing. The intended kinds of personal data to be used and the intended classes of marketing subjects are specified below. However, we may not so use or provide your personal data unless exempted by the Ordinance or we have received your consent. For direct marketing purposes, MeTime intends to (i) use your name, contact information and demographic information; and (ii) market or promote the following classes of services, products and subjects: • Wellness related products and services. • Special offers, discounts, and promotional campaigns. • Special events hosted by MeTime or its affiliates or Business Partners for Users, including but not limited to openings, courses, and competitions. • Reward, loyalty or privilege programs and related products and services. • Donations and contributions for charitable and/or non-profit making purposes. You can always opt-out free-of-charge by clicking on the ‘Unsubscribe’ link on any such email or by contacting the MeTime at admin@metime.com if you no longer wish any of your personal data to be used in any of the described direct marketing purposes.

37 Disclosure or Transfer of Data: We also may share aggregate or anonymous information with third parties, including advertisers and investors. For example, we may tell our advertisers the number of visitors our Website receives or the most popular Business Partners and Wellness services. This information does not contain any personal information and is used to develop content and services we hope you will find of interest.

38 MeTime agrees to take all practicable steps to otherwise keep all personal information and data of Users confidential. However, we may disclose and/or transfer such information and/or data to third parties if we determine in our sole discretion that such disclosure is necessary in the following circumstances: • Where the information and/or data is disclosed and/or transferred to a third party service provider or an agent who has been duly authorized by MeTime to use such information and/or data and who will facilitate the services on the Website, under a duty of confidentiality. • Where MeTime needs to protect and defend its rights, property and Users and/or where MeTime considers it necessary to do so in order to comply with applicable laws and regulations, including without limitation compliance with judicial proceedings, court order, regulatory investigation, or other legal process served on MeTime. • In connection with a corporate transaction, such as a divestiture, merger, consolidation, or asset sale, or in the unlikely event of bankruptcy.

39 Personal data collected via the Website may be transferred, stored and processed in any country in which MeTime operates. By using the Website, Users are deemed to have agreed to and authorized MeTime to disclose and/or transfer their personal information and data under the circumstances stated above, as well as to any transfer of information outside of the User’s country.

40 Retention of Data: Once MeTime has obtained a User’s personal information and/or data, it will be maintained securely in MeTime’s system. Subject to legal requirements, that personal information and/or data will be retained by MeTime after deactivation of the relevant service until the User requests MeTime in writing to erase his/her own personal information and/or data from MeTime’s database or to terminate his/her account.

41 Access / Amendment: Any User is entitled to request access to or make amendments to his/her own personal information and data kept with MeTime by email to admin@metime.com. In the event that a User wishes to access or amend his/her personal information and data, MeTime may request him/her to provide personal details in order to verify and confirm his/her identity. MeTime is required to respond to a User’s request within 40 days of his/her request and will endeavor to do so wherever possible.

42 Security: MeTime follows generally accepted industry standards to protect the personal information and data submitted by Users to the Website, both during transmission and once MeTime receives it. However, no method of transmission over the Internet, or method of electronic storage, is 100% secure. Therefore, while MeTime strives to protect Users’ personal information and data against unauthorized access, it cannot guarantee its absolute security.

43 Third Party Sites: Users are reminded that this Privacy Policy grants no protection to personal information and data that may be exposed on websites / media platforms / applications other than this Website, and MeTime is not responsible for the privacy practices of such other websites / media platforms / applications.

Limitation of liability

45 To the fullest extent permissible by law, we exclude and disclaim all warranties, terms, conditions and representations that might otherwise be implied by law in relation to this Website. 48 We shall not be liable for any indirect, special, incidental or consequential damages or otherwise, even if advised of the possibility of such damages.

49 We shall not be liable for any loss caused as a result of your actions or inactions based on the materials available on this Website. However, nothing in these Website Terms of Use shall affect your statutory rights, and nothing in these Website Terms of Use shall exclude our liability for anything that cannot be excluded or limited by us under Hong Kong law.

50 MeTime makes no representation that content on the MeTime Website are appropriate or available for use outside of Hong Kong. Those who choose to access the MeTime website from outside of Hong Kong do so on their own initiative and are responsible for compliance with local laws, if and to the extent that local laws are applicable.

51 Without prejudice to the above and subject to applicable laws, the aggregate liability of MeTime to any User or any other person accessing the Website for any or all claims arising from their use of the Website shall be limited to the amount of HK$1,000. The limitation of liability reflects the allocation of risk between the parties. Indemnification
